# END-USER LICENSE AGREEMENT (EULA)

This End-User License Agreement (“Agreement” or “EULA”) is a contract between you (“User,” “you,” or “your”) and ACON AI, Inc. (“Company,” “we,” “us,” or “our”) for the CoinAILyzer mobile application (the “App”).
**BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU ACCEPT AND AGREE TO THIS EULA. If you do not agree, do not download, install, or use the App.**

## 1. ACCEPTANCE & ELIGIBILITY
**Age Requirement** — You must be at least 18 years old to use the App. Individuals under 18 are not permitted to register or use the App.

## 2. LICENSE GRANT & RESTRICTIONS
**Limited License** — We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a compatible iOS or Android device for your personal, non-commercial use.
**You may not:**
* Copy, modify, distribute, sell, or lease the App
* Reverse-engineer, decompile, or disassemble the App
* Use the App for any commercial purpose without our written permission
* Remove or alter proprietary notices
* Use the App in violation of any law
* Attempt to gain unauthorized access to our systems or networks
* Upload coin images you do not own or do not have permission to upload
* Misrepresent the grade, condition, or authenticity of coins

## 3. APP FEATURES & SERVICES
**Core Features:**
* AI-powered coin identification (year, mint mark, denomination, type)
* ML-based “worth grading” recommendations
* Coin condition analysis and wear assessment
* AI chat assistance for coin collecting questions
* Access to CoinHelpU educational video content
* Collection tracking and management
**Free vs Premium** — Basic features are free with limited uploads. Premium features require a paid subscription (see Section 7). Subscription details and pricing are shown in-app and through Apple App Store / Google Play.

## 4. INTELLECTUAL PROPERTY
**Our Ownership** — We own all rights, title, and interest in the App, its technology, AI models, ML algorithms, analysis outputs, content, and branding.
**Your Content — Coin Images:**
* **You retain ownership** of coin photographs you upload.
* **License to us:** You grant us a perpetual, worldwide, royalty-free license to use, store, process, and analyze your uploaded coin images for the following purposes:
* Providing identification and grading services to you
* **Training and improving our AI models** for coin identification and grading
* **Conducting research and development** to enhance our Services
* **Creating anonymized datasets** for model improvement
* **Account deletion:** When you delete your account, your coin images are **dissociated from your user identity and anonymized**, but may be retained indefinitely for AI model training purposes as described in our Privacy Policy.
* **No ownership claim:** We do not claim ownership of your coin images, but we do retain the right to use anonymized versions for model improvement.
**AI-Generated Analysis:**
* Analysis results, grading predictions, and recommendations generated by the App are our intellectual property.
* You may use these results for your personal coin collecting decisions.

## 5. DATA COLLECTION & PRIVACY

**Data stored:**
* OAuth2 user ID (anonymous identifier from social login)
* Uploaded coin photographs
* Identification results (year, mint mark, denomination, condition)
* ML grading predictions and confidence scores
* Chat history with AI assistant
* App preferences and settings
* Subscription receipts (from Apple/Google, not payment cards)
**Data retention:**
* **Personal account data** (OAuth ID, preferences, chat history) is deleted when you delete your account
* **Coin images** are retained indefinitely for AI model training but are **dissociated from your account** and anonymized when you delete your account
* **Analysis results** linked to your account are deleted when you delete your account
* Subscription receipts are kept only as long as needed for entitlement checks and tax/chargeback purposes (up to 12 months after subscription ends)
**Important:**
* **Your coin images ARE used to train and improve our AI models** after being anonymized
* No personally identifiable information is linked to anonymized training data
* We do not share your coin collection data with third parties for marketing purposes
* Coin images are processed through OpenAI’s API for identification (subject to their privacy policy)

## 6. AFFILIATE LINKS & THIRD-PARTY CONTENT
* The App may include affiliate links to coin dealers, eBay, Amazon, or numismatic retailers; we may earn commissions on qualifying purchases.
* We do not sell coins directly. Product and pricing information is provided for reference only.
* The App utilizes educational content from third-party sources such as CoinHelpU for informational purposes.

## 7. SUBSCRIPTION TERMS
**Billing & provider** — Premium access is sold as an auto-renewing subscription through Apple App Store or Google Play. All billing, renewals, cancellations, and refunds are handled exclusively by the store provider; we never see your payment card.
**Auto-renewal** — Subscriptions renew at the end of each term (monthly or annual) unless you cancel at least 24 hours in advance in your device’s Manage Subscription settings.
**Price changes** — If the store changes the price, you will be notified by Apple/Google and may cancel before the new rate applies.
**Trials / intro offers** — Unused trial days are forfeited once a paid plan begins; billing starts when the trial ends.
**Refunds** — All refund requests must be submitted to Apple or Google under their policies. We cannot process refunds directly.

## 8. ACCOUNT TERMINATION
**By you** — You may stop using the App at any time. To delete your account and personal data, use the account deletion option in the app settings or contact support@acon.ai.
**By us** — We may suspend or terminate access for violations of this EULA, our Terms and Conditions, or applicable law.
**Important:**
* Deleting the App from your device does not cancel an active subscription; you must cancel through the App Store or Google Play settings.
* Deleting the App does not delete your account data; use the in-app account deletion feature or contact support.
**Upon termination:**
* Your personal account data (OAuth ID, preferences, chat history, analysis results) is deleted as described in the Privacy Policy
* Coin images are dissociated from your account and anonymized, but may be retained for AI model training

## 9. SERVICE AVAILABILITY
We aim for 24/7 availability but cannot guarantee uninterrupted service. Maintenance, updates, or technical issues may temporarily limit functionality. We will announce significant interruptions when feasible.
AI-powered features (identification, grading) depend on third-party services (OpenAI API) and may be unavailable if those services experience outages.

## 10. DISCLAIMERS & LIMITATIONS
**”AS IS” Provision** — The App is provided “AS IS” without warranties of any kind, express or implied.
**No Warranties** — We make no warranties about:
* Accuracy of coin identification or grading predictions
* Suitability of coins for professional grading
* Market value or authenticity of coins
* Uninterrupted or error-free operation
**AI & ML Technology Disclaimer:**
* **Coin identification and grading are AI/ML predictions, not professional appraisals**
* Accuracy depends on image quality, lighting, camera, and AI limitations
* **”Worth grading” recommendations are opinions, not guarantees**
* Actual professional grades (PCGS, NGC, ANACS, ICG) may differ significantly
* **Not a substitute for professional grading services or numismatic expertise**
* Always consult professional coin dealers or grading services before making financial decisions
**Financial Decisions:**
* We are not responsible for financial losses from:
* Grading submissions based on AI recommendations
* Purchase or sale decisions based on identification or grading
* Missed opportunities or incorrect valuations
* Any decisions made in reliance on the App
**Limitations of Liability:**
* **No liability for indirect, incidental, special, or consequential damages**
* Maximum liability limited to the lesser of: amount paid in last 6 months OR $100 USD
* Some jurisdictions do not allow these limitations; they may not apply to you
**Service Changes:**
* We may add, remove, or replace AI models at any time provided overall functionality remains materially similar
* Features may be added, modified, or discontinued without notice

## 11. INDEMNIFICATION
You agree to indemnify and hold ACON AI, Inc. harmless from any claims, losses, damages, liabilities, or expenses (including reasonable attorneys’ fees) arising from:
* Your use of the App
* Your breach of this EULA
* Your violation of any law or regulation
* Your violation of third-party rights (including intellectual property rights)
* Coin images you upload that you do not own or have permission to upload
* Financial decisions made based on AI predictions

## 12. GOVERNING LAW
This EULA is governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict of law principles.
Disputes must follow the dispute resolution process outlined in our Terms and Conditions.

## 13. CHANGES TO THIS EULA
We may update this EULA from time to time to reflect changes in our Services, legal requirements, or business practices. Material changes will be announced in-app, by email (if provided), or by other reasonable means.
**Continued use of the App after changes constitutes acceptance of the revised terms.** If you do not agree to changes, you must stop using the App and may delete your account.

## 14. SEVERABILITY
If any provision of this EULA is deemed invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect.

## 15. ENTIRE AGREEMENT
This EULA, together with our Terms and Conditions and Privacy Policy, constitutes the entire agreement between you and ACON AI regarding the App and supersedes all prior agreements or understandings.
